Our Role
We act as an independent and professional Exchange Agent, managing the complete logistical and administrative process for complex corporate actions. We ensure the exchange of securities is executed flawlessly, in strict accordance with the terms of the transaction agreement.
We manage the end-to-end process for tender and exchange offers, including debt-for-equity swaps and other liability management transactions. We receive and validate all tendered securities and execute the exchange for new securities or cash consideration.
In a merger or acquisition, we manage the entire share exchange process. We collect and validate surrendered securities from the target company's shareholders and issue the new shares and/or cash consideration from the acquiring company.
We coordinate the distribution of all necessary documentation, such as Letters of Transmittal, and act as a central point of contact for shareholder inquiries, providing clear instructions and support throughout the exchange process.
We manage the final settlement, ensuring the accurate cancellation of old securities and the issuance of new ones. We provide comprehensive, final reporting to all parties, creating a clear and defensible audit trail.
