With a vast and growing international contact base among issuers, investment funds, and law firms, as well as an increasing reputation, AFS has gradually expanded its value-added service offerings to provide a coherent set of solutions to its clients (Agency, Valuation, Management of General Meetings and Shareholder Registers, …)
To support its growth, AFS is creating a position at its headquarters in PARIS for Director/VP of Agency M&A Development to accelerate its expansion. The Agency M&A function encompasses all missions and services related to the management and execution of an M&A transaction: closing, SPA follow-up, Data Room, escrow, etc.
JOB DESCRIPTION
Reporting directly to the General Management of the company, your responsibilities will include, after a familiarization phase with the specifics of the company's offerings:
- Depending on your experience, you will assess the services offered by Aether FS in the Agency sector as well as in Corporate and Issuer Services to formalize and define the contours of a coherent and tailored offering addressing the challenges of post-transaction management in M&A transactions. The aim is to position Aether FS as a trusted third party for outsourcing the operational risk of executing an M&A deal.
- By taking responsibility for the development of this activity, you will define the priority development areas, the associated targets, and the corresponding commercial messaging.
- In collaboration with the Communications Department, you will take responsibility for formalizing the formats of materials and actions to support the development of the activity: blog posts, articles, webinars, trade shows, etc.
- You will be a driving force in the coordination and a key player in the implementation of development actions for the offerings and this activity concerning the identified targets, leveraging both existing client contacts and new targets.
- Initially, and evolving with the formation of the team, you will maintain an operational involvement in the projects of the M&A department to enhance your understanding of the strengths and optimization and evolution challenges.
- Due to your position, you will be in close contact with other Business Unit Directors to maximize the sharing of information as well as opportunities for joint development and synergies.
- You will ensure regular reporting and an appropriate monthly update to the General Management related to your position, and the progress of actions undertaken and to be initiated to achieve development objectives, particularly in terms of client follow-up and commercial proposals.
- You will conduct regular monitoring of market elements and regulatory developments that may impact, influence, or promote the company's activities in these markets both in France and abroad, with a particular focus on the UK.
YOUR PROFILE
Skills
- Between 6 to 10 years of experience as a corporate M&A lawyer or in-house counsel dedicated to M&A
- Sensitivity to business development aimed at the Financial and/or Legal Departments of Companies as well as Investment Funds or Law Firms.
- Proven experience in the operational management of M&A transactions,
- Strong operational knowledge of M&A transaction mechanics, particularly in analyzing transactional documentation (SPA, shareholders' agreement, GAP, etc.),
- The intention to take operational control of developing a business activity, encompassing all commercial, marketing, and field management challenges, within the framework of a strong strategic vision aimed at building a team,
- Proven skills in the use of the Office suite (Word, Excel, and PowerPoint),
- Excellent writing skills in French,
- A strong command of English.
